Terms of Service

1. Who we are
AgentReady Woo ("AgentReady", "the Service") is operated by Utility House, a sole proprietorship owned by Jeongwook Shin, based in Seoul, Republic of Korea. Contact: hello@utilityhouse.xyz.
These Terms govern your use of the Service. By creating an account or using AgentReady, you agree to them.
2. What the Service does
AgentReady scans WooCommerce stores for readiness to be discovered and sold through by AI shopping agents (via protocols such as MCP), generates an agent-readable product feed, scores gaps, and supports signed cart handoff to the merchant's own checkout.
3. Accounts and API keys
- You provide your store's URL and issue a read-only WordPress REST API key so AgentReady can read your catalog. AgentReady can read product data; it cannot write, modify orders, or access customer records through that key.
- You are responsible for keeping your account credentials secure and for revoking the API key when you stop using the Service.
4. Plans and billing
- Free — readiness score and top-10 product feed. No charge.
- Deep Report — $9, one-time purchase.
- Pro — $89 per year (or $9/month where offered). Renews automatically until cancelled.
- Agency — $199 per year, covers up to 25 stores. Renews automatically until cancelled.
Payments are processed by Paddle.com Market Limited, acting as Merchant of Record. Charges appear on your statement from Paddle. Applicable sales tax / VAT is handled by Paddle. See our Refund Policy.
5. Acceptable use
- Don't use the Service for unlawful content, counterfeit goods, or products prohibited by Paddle's acceptable use policy.
- Don't attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service or other users' accounts.
- You must own or be authorized to operate any store you connect.
6. Intellectual property
You retain all rights to your store data and catalog. We retain all rights to the Service, its scoring methodology, software, and brand. Reports generated for you are yours to use internally and publicly.
7. Availability and changes
We aim for high availability but provide the Service "as is" without warranties of any kind. We may modify or discontinue features; material adverse changes to paid features will be announced by email at least 14 days ahead.
8. Limitation of liability
To the maximum extent permitted by law, Utility House's total liability arising from the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect or consequential damages.
9. Cancellation and termination
You may cancel subscriptions anytime (see Refund Policy) and delete your account from the dashboard or by email. We may suspend accounts that violate these Terms.
10. Governing law
These Terms are governed by the laws of the Republic of Korea. Disputes will be resolved in the courts of Seoul, Republic of Korea, except where mandatory consumer protection law of your residence grants you a different forum.
